1. Acceptance of Terms
By accessing and using The Balance Project facilities, services, website, or mobile application ('Services'), you agree to be bound by these Terms of Service ('Terms'). If you do not agree to these Terms, please do not use our Services.
2. Description of Services
The Balance Project provides co-working spaces, private offices, meeting rooms, business address services, and related amenities at our locations in Auckland and Christchurch, New Zealand. Our services include but are not limited to:
• Co-working desk space and hot-desk access
• Private office rentals
• Meeting room bookings
• Business address and mail handling services
• Member networking events and activities
• Access to kitchen facilities and common areas
• WiFi and basic office amenities
3. Membership and Registration
3.1 Eligibility
You must be at least 18 years old and have the legal capacity to enter into contracts to become a member.
3.2 Membership Types
We offer various membership levels including hot-desk access, dedicated desk space, and private offices. Specific terms and pricing for each membership type are available on our website or by contacting us directly.
3.3 Account Responsibility
You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.
4. Business Address Services
4.1 Service Description
Our business address service allows you to use our premises address for business registration and correspondence purposes. This service includes mail receipt and forwarding as specified in your service agreement.
4.2 Permitted Use
The business address service is for legitimate business purposes only. You may not use our address for:
• Any illegal activities or businesses
• High-volume mail operations without prior approval
• Activities that may damage our reputation
• Forwarding of packages without prior arrangement
4.3 Mail Handling
We will receive mail on your behalf and forward it according to your service plan. We are not responsible for the contents of mail received and reserve the right to refuse suspicious or inappropriate items.
5. Facility Use and Conduct
5.1 Access Hours
Facility access hours vary by membership type and location. Current hours are posted at each location and on our website.
5.2 Conduct Expectations
All members and guests must:
• Respect other members and maintain a professional environment
• Keep noise levels appropriate for a shared workspace
• Clean up after themselves in common areas
• Follow all posted safety and security procedures
• Not engage in activities that disturb other members
5.3 Prohibited Activities
The following activities are strictly prohibited:
• Smoking or vaping anywhere on the premises
• Consumption of alcohol without prior approval
• Illegal activities of any kind
• Harassment or discrimination against other members
• Damage to property or equipment
• Unauthorized access to restricted areas
6. Payment Terms
6.1 Fees and Billing
Membership fees are due in advance according to your selected billing cycle. All fees are exclusive of GST unless otherwise stated.
6.2 Late Payments
Late payment may result in suspension of access to facilities and services. A late fee may be applied to overdue accounts.
6.3 Refunds
Membership fees are generally non-refundable except as required by law or in exceptional circumstances at our sole discretion.
7. Cancellation and Termination
7.1 Member Cancellation
You may cancel your membership by providing 30 days' written notice. Cancellation must be submitted through our official channels.
7.2 Termination by The Balance Project
We reserve the right to terminate memberships immediately for:
• Violation of these Terms
• Non-payment of fees
• Conduct that disrupts the workspace environment
• Any illegal activities
8. Limitation of Liability
To the maximum extent permitted by law, The Balance Project shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our Services. Our total liability shall not exceed the amount paid by you for Services in the preceding 12 months.
9. Security and Personal Property
While we maintain security measures, members are responsible for their personal property. The Balance Project is not responsible for theft, loss, or damage to personal items. We recommend not leaving valuable items unattended.
10. Privacy and Data Protection
Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your personal information.
11. Intellectual Property
The Balance Project name, logo, and all related materials are our intellectual property. Members retain ownership of their own work and intellectual property created while using our facilities.
12. Force Majeure
We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, or public health emergencies.
13. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated to members via email or posted notices. Continued use of our Services after changes constitutes acceptance of the new Terms.
14. Governing Law
These Terms are governed by the laws of New Zealand. Any disputes will be subject to the exclusive jurisdiction of New Zealand courts.
15. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

17. Entire Agreement
